Plain-language summary — read this first
What this is: The agreement between you (a solar installer) and Nova Metrics when you use the Solar Intelligence platform.
We are a software company, not an engineering firm: Nothing we produce is an engineering certificate, COC, or professional engineering sign-off of any kind. You are the licensed professional. You are responsible for every design you use for an actual installation.
Financial outputs are estimates only: Every figure the platform produces — savings, payback periods, NPV, IRR — is an indicative projection, not financial advice and not a guarantee.
You are the installer: Nova Metrics produces the design and paperwork. You are responsible for every installation, every COC, and every compliance obligation.
Your clients’ data: You are responsible for having a lawful reason to enter your clients’ information. We protect it — but you own that relationship.
Paying for the service: You pay monthly or annually. Non-payment leads to account suspension after notice.

2. Acceptance of these Terms

By creating an account on the Platform, ticking the acceptance checkbox at signup, or by continuing to use the Platform after these Terms have been updated and notified to you, you agree to be bound by these Terms of Service in full.

If you are registering on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have that authority, do not register.

These Terms constitute a legally binding agreement between you and Nova Metrics and are governed by the laws of the Republic of South Africa.

Nova Metrics provides the Solar Intelligence platform — a software tool that assists solar installers in South Africa to:

We provide the platform as a software tool only. Nova Metrics does not provide engineering services, engineering design services, engineering opinions, electrical inspection services, regulatory compliance sign-off, or financial advice of any kind.

4. Critical disclaimer — financial outputs are indicative estimates only

This section is important. Please read it carefully.

All financial outputs generated by the Platform — including but not limited to estimated annual savings, payback periods, net present value (NPV), internal rate of return (IRR), and 25-year financial projections — are indicative estimates only.

These outputs are based on:

Actual results will differ from projected outputs due to real-world variables including but not limited to: actual electricity consumption patterns, changes in utility tariffs, system downtime, local weather variation, financing costs, insurance claims, and battery replacement timing.

Nova Metrics outputs are not financial advice as defined under the Financial Advisory and Intermediary Services Act, 2002 (FAIS). Installers must not present platform outputs to end-clients as guaranteed returns, investment advice, or certified financial projections. You are responsible for communicating the indicative and estimated nature of all financial outputs to your clients before they rely on them to make purchasing decisions.

Nova Metrics accepts no liability for any loss suffered by an Installer or an End-Client arising from reliance on financial outputs generated by the Platform.

5. No engineering services — design tool only

Nova Metrics is a software company, not an engineering firm. No engineering services of any kind are provided through this Platform.

Platform Outputs — including system designs, sizing calculations, component selections, and proposal documents — are produced by software applying configurable parameters. They have not been reviewed, verified, or approved by a registered professional engineer. They do not constitute:

The Platform is designed to align with South African standards including NRS 097-2-1 and NERSA SSEG guidelines as understood at the time of platform development. This alignment assists installers in producing designs consistent with those standards. It does not constitute a certification of compliance, and Nova Metrics does not warrant that any Output satisfies all requirements of any standard, regulation, or municipal requirement applicable to a specific installation.

The Installer is solely and entirely responsible for the professional suitability of any system design used for an actual installation. The Installer must apply their own professional judgment, conduct a proper site assessment, and ensure that all work is performed by appropriately qualified and registered persons. Platform Outputs may be used as a starting point for the Installer’s own professional assessment — they may not be presented to any party as the output of an engineering service, as an engineering certificate, or as a substitute for the Installer’s professional obligations.

Nova Metrics accepts no liability for any loss, damage, injury, regulatory penalty, or legal liability arising from any installation carried out using Platform Outputs, regardless of whether those Outputs were used in whole, in part, or as modified by the Installer.

By using the Platform, you agree that you are responsible for:

7. Account registration and security

You must provide accurate information when registering for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately at info@novametricsgroup.com if you suspect unauthorised access to your account.

You may not share your account credentials with third parties or allow multiple people to use a single account without our written consent. If you require multiple user accounts, contact us to discuss team or enterprise options.

Each account is for use by a single installer business. You may not create multiple accounts to circumvent plan limits or usage restrictions.

You agree not to use the Platform to:

9. Subscription, payment, and cancellation

9.1 Subscription plans

Access to the Platform requires a paid Subscription. Plan details, features, and pricing are published at novametricsgroup.com/billing. Nova Metrics reserves the right to change plan pricing with 30 days’ written notice to active subscribers.

9.2 Trial period

New accounts may be provided with a free trial period as stated at the time of registration. At the end of the trial period, continued use of the Platform requires an active paid Subscription. No payment information is required during the trial period.

9.3 Payment

Subscriptions are billed monthly or annually in advance, in South African Rand (ZAR), exclusive of VAT. Payment is processed through PayFast. By providing payment details you authorise Nova Metrics to charge the applicable subscription fee to your payment method on the billing date.

9.4 Late payment and suspension

If payment fails, we will notify you by email. If payment is not received within 7 days of that notice, your account may be suspended. Suspended accounts retain their data for 30 days, during which payment may be made to restore access. After 30 days of unpaid suspension, the account may be terminated and data deleted in accordance with our retention policy.

9.5 Cancellation

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period — we do not provide refunds for unused portions of a billing period. After cancellation your account will remain accessible in a read-only state until the end of the period, then be suspended.

10. Your data and our data

10.1 Your data belongs to you

All client data, proposal data, and job records you enter into the Platform remain your property. Nova Metrics does not claim ownership over your data.

10.2 Our data

The Platform itself — including all software, engineering calculation logic, reference datasets (including the Master Inverter Compliance Register, irradiance data, and load profiles), proposal templates, and all intellectual property — belongs to Nova Metrics and is protected by copyright and other applicable intellectual property laws. You may not copy, reproduce, or reverse engineer any part of the Platform.

10.3 Data export and deletion

You may request an export of your data at any time by contacting info@novametricsgroup.com. On termination of your account, we will provide you with a data export upon request and then delete your data in accordance with our retention obligations as set out in our Privacy Policy.

11. Liability and indemnity

11.1 Limitation of liability

To the maximum extent permitted by South African law, Nova Metrics’ total liability to you for any claim arising out of or in connection with these Terms or your use of the Platform is limited to the total subscription fees you paid to Nova Metrics in the 12 months immediately preceding the event giving rise to the claim.

Nova Metrics is not liable — under any legal theory including contract, delict, or otherwise — for:

12. Platform availability and changes

We aim to keep the Platform available and operational at all times but do not guarantee uninterrupted access. We may carry out maintenance, updates, or improvements that result in temporary unavailability. We will give reasonable advance notice for planned maintenance where possible.

Nova Metrics reserves the right to modify, add to, or remove features from the Platform at any time. We will notify active subscribers of material changes. If a material change significantly reduces the functionality you subscribed for, you may cancel your Subscription and receive a pro-rata refund for the unused portion of your billing period.

13. Termination

Nova Metrics may suspend or terminate your account immediately, without prior notice, if:

In all other cases of termination initiated by Nova Metrics (such as a decision to discontinue the service), we will give you 30 days’ written notice and provide a data export.

14. Disputes and governing law

These Terms are governed by the laws of the Republic of South Africa. Any dispute arising out of or in connection with these Terms that cannot be resolved by the parties directly will be referred to mediation before either party initiates litigation. If mediation fails, disputes will be resolved in the courts of the Republic of South Africa having jurisdiction.
